Service Engagement Terms
Our consulting services are delivered based on individually agreed scopes of work (SOWs) or engagement letters. These documents will detail the specific objectives, deliverables, timelines, and personnel involved. We commit to providing our services with professional diligence and care.
Successful project outcomes often depend on proactive client engagement. Clients are responsible for providing timely access to necessary information, personnel, and facilities as outlined in the SOW. Any delays caused by a lack of client cooperation may impact project timelines and costs.
Intellectual property generated during the engagement is subject to the provisions of the SOW. Generally, customized deliverables become the property of the client upon final payment. Both parties commit to upholding strict confidentiality regarding all proprietary and sensitive information shared during the engagement, as detailed in our Non-Disclosure Agreements.
Fees for services will be clearly outlined in the SOW. Payment schedules, invoicing procedures, and any applicable expenses will be mutually agreed upon prior to project commencement. Late payments may incur interest charges as stipulated in the SOW.
Liability and Limitations
Silkweave Advisory's liability for any and all claims arising out of or in connection with these Terms or the services provided shall be limited to the fees paid by the client for the specific services giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
You agree to indemnify and hold harmless Silkweave Advisory, its affiliates, directors, officers, employees, and agents from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Service or your breach of these Terms.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, or power failures.
Dispute Resolution and Governing Law
In the event of any dispute arising out of or in connection with these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If resolution is not achieved within 30 days, either party may initiate mediation with a mutually agreed-upon mediator.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in London, UK, and the parties hereby consent to the personal jurisdiction and venue therein.
